1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CopSecure, LLC ("CopSecure," "we," "us," or "our") governing your access to and use of the CopSecure platform, including any associated websites, applications, APIs, and services (collectively, the "Platform").

BY ACCESSING, REGISTERING FOR, OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.

2. Eligibility

To use the Platform, you must be at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater. By using the Platform, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into these Terms.

3. Platform Description

CopSecure operates as a secure marketplace connecting individuals seeking automated checkout services ("Buyers") with service providers offering such services ("Providers"). The Platform facilitates transactions between Buyers and Providers through a secure payment system designed to protect both parties.

CopSecure is not a party to the transactions between Buyers and Providers. We provide the technological infrastructure and secure payment processing to facilitate these transactions but do not guarantee the outcome of any checkout attempt.

4. Prohibited Transmission of Payment Credentials

NOTWITHSTANDING ANY OTHER PROVISION OF THESE TERMS OR ANY COMMUNICATION, MARKETING MATERIAL, OR GUIDANCE PROVIDED THROUGH THE PLATFORM:

4.1 Absolute Prohibition. Users are STRICTLY PROHIBITED from transmitting, sharing, uploading, or otherwise disclosing any actual credit card numbers, debit card numbers, bank account numbers, CVV/CVC codes, personal identification numbers (PINs), passwords to financial accounts, or any other payment credentials, banking information, or financial account access credentials ("Payment Credentials") through any functionality, feature, file upload mechanism, messaging system, or communication channel provided by or accessible through the Platform.

4.2 Virtual Card Recommendation. While the Platform may recommend or facilitate the use of virtual card numbers, tokenized payment methods, or similar privacy-preserving payment instruments, any such recommendation is made solely for the purpose of protecting User privacy and facilitating legitimate transactions with third-party retailers. Under no circumstances does any such recommendation or platform functionality authorize, permit, or condone the transmission of actual Payment Credentials to any other User, Provider, or third party through the Platform.

4.3 User Acknowledgment. By using the Platform, you expressly acknowledge and agree that: (a) you shall not transmit Payment Credentials through any mechanism provided by the Platform; (b) any transmission of Payment Credentials constitutes a material breach of these Terms; (c) CopSecure expressly disclaims any responsibility or liability for any loss, damage, fraud, or unauthorized charges resulting from the transmission of Payment Credentials in violation of this Section; and (d) such transmission may result in immediate termination of your account and forfeiture of any pending payments.

4.4 Compliance. Users acknowledge that the transmission of Payment Credentials may violate applicable laws, regulations, and payment card industry standards. Users agree to indemnify and hold harmless CopSecure from any claims, damages, or penalties arising from User's violation of this Section.

5. User Accounts

5.1 Account Registration. To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

5.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify CopSecure immediately of any unauthorized use of your account.

5.3 Account Types. The Platform offers different account types for Buyers and Providers, each with different features, requirements, and obligations as described on the Platform.

6. Payment Protection

6.1 Payment Mechanism. When a Buyer purchases a slot from a Provider, the payment is authorized but not charged until the checkout result is confirmed by both parties or resolved through our dispute resolution process.

6.2 Payment Processing. Payment is captured and transferred to the Provider upon confirmation of a successful checkout by both parties. In the event of an unsuccessful checkout, the authorization is released and the Buyer is not charged.

6.3 Disputes. In the event of a dispute between Buyer and Provider regarding checkout results, CopSecure will review the evidence provided by both parties and make a determination in its sole discretion. CopSecure's decision is final and binding.

7. Fees and Payments

7.1 Platform Fees. CopSecure charges fees for use of the Platform as described in our pricing information. Fees may include subscription fees for Providers, transaction fees, and processing fees.

7.2 Payment Processing. All payments are processed through our third-party payment processor, Stripe. By using the Platform, you agree to Stripe's terms of service.

7.3 Refunds. Refund policies are governed by the payment protection terms and dispute resolution process. CopSecure does not guarantee refunds outside of the established payment protection process.

8. Prohibited Conduct

In addition to the prohibitions in Section 4, you agree not to:

Use the Platform for any illegal purpose or in violation of any applicable laws
Engage in fraud, misrepresentation, or deceptive practices
Interfere with or disrupt the Platform or servers connected to the Platform
Attempt to gain unauthorized access to any portion of the Platform
Use the Platform to transmit malware, viruses, or other harmful code
Harass, abuse, or harm other Users
Create multiple accounts to circumvent restrictions or bans
Manipulate or falsify checkout results or evidence
Circumvent or attempt to circumvent the payment protection system
Engage in any activity that violates the terms of service of third-party retailers

9. Intellectual Property

The Platform, including all content, features, and functionality, is owned by CopSecure and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our express written permission.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. COPSECURE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

COPSECURE DOES NOT GUARANTEE THE SUCCESS OF ANY CHECKOUT ATTEMPT. RESULTS DEPEND ON NUMEROUS FACTORS OUTSIDE OF COPSECURE'S CONTROL, INCLUDING BUT NOT LIMITED TO RETAILER POLICIES, PRODUCT AVAILABILITY, AND PROVIDER PERFORMANCE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COPSECURE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL COPSECURE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNTS PAID BY YOU TO COPSECURE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless CopSecure and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your transmission of any Payment Credentials through the Platform.

13. Termination

CopSecure may terminate or suspend your account and access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Changes to Terms

CopSecure reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the modified Terms.
